License agreement
Kailos license agreement and terms
Last updated 28 October 2026. This agreement covers the Kailos app and the Kailos sync service. It works together with the privacy policy.
The short version
- Kailos is free to use. You get a license to use it, not ownership of it, and the source code is not published.
- It is provided as it is, with no warranty. Keep your own backups.
- Your tasks are yours. You can delete your account and synced data at any time from Settings.
- Don't reverse engineer it, break into it, or use it to harm others.
- Questions: enquiry@knivier.com. Bugs: bugs@knivier.com. Support and deletion requests: help@knivier.com. Legal process: legal@knivier.com.
The short version is a summary. The numbered sections below are the agreement.
1. Parties and acceptance
These Terms are a legally binding agreement between you (“you” or “User”) and Agniva, doing business as Knivier (“Knivier”, “we”, “us”, or “our”).
If you do not agree to these Terms, you must not download, install, access, or use the Software or the Services. If you use them on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
You represent that you have legal capacity to enter this agreement and are old enough to hold the Google or Apple account you sign in with. If you are under the age of majority in your jurisdiction, you may use Kailos only with the consent of a parent or legal guardian who agrees to these Terms.
2. Definitions
Software means Kailos, the task-management applications for macOS, Windows, Android and iOS, in every version, including beta and pre-release versions.
Services means the Kailos sync service (accounts, sign-in, cloud storage and live updates between your devices), the update service, the Kailos website, and other online offerings operated by Knivier for Kailos.
Closed Source Software means Software for which Knivier has not published the source code. Kailos is Closed Source Software.
Content means the lists, tasks, notes, settings and other information you create or store in Kailos.
3. Scope and precedence
These Terms apply to the Software and the Services. If you have a separate written agreement signed by Knivier, that agreement controls only to the extent of a direct conflict. Where you get Kailos from an app store, the extra terms in Section 13 also apply.
4. License
4.1 What you may do
Subject to these Terms, Knivier grants you a personal, worldwide, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your own personal or internal use, and to use the Services through it. The Software is licensed, not sold.
4.2 What you may not do
You shall not copy, sell, rent, lease, sublicense, or redistribute the Software (you may share a link to the official download), or use it to build a competing product. You shall not remove or obscure Knivier branding or copyright notices.
You shall not jailbreak, exploit, reverse engineer, decompile, disassemble, probe, bypass, or backdoor the Software or any related Service in a manner intended to obtain unauthorized access or to give any user unfair privileges, except to the limited extent such a restriction is prohibited by applicable law (for example, certain interoperability rights) or by the license of an open-source component described in Section 12. Circumvention of technical protection measures, privilege escalation, and unauthorized modification of access controls are forbidden.
4.3 As is
All Software and Services are provided as is and as available, without any warranties of any kind, whether express, implied, or statutory. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade.
Knivier does not warrant that the Software or Services will be uninterrupted, timely, secure, error-free, or free of harmful components, or that defects will be corrected.
5. Seamless Standard Promise (SSP)
Subject to these Terms, Knivier makes the following operational commitments. The SSP does not create warranties beyond this Section 5, does not restore any warranty disclaimed in Sections 4.3 or 14, and does not expand liability beyond Section 15.
5.1 Data-breach lockout and notice
If a data breach affects the Kailos sync service, Knivier will, as soon as reasonably practicable after becoming aware of the incident, sign out or lock affected accounts and notify affected users using the contact information on file. Knivier's goal is to do so immediately. Notice may be sent by email or shown in the app. You are responsible for keeping a current, reachable email address on your Google or Apple account.
Lockout is a protective measure. Knivier is not liable for interruption of access during an investigation, for delayed notice caused by inaccurate contact details, or for harm caused by the underlying incident except as required by non-waivable law.
5.2 Unexpected behavior
If Kailos is not behaving as expected, email bugs@knivier.com. Reports should include enough detail to reproduce the issue, such as the app version (shown in Settings), your device and what you did. Knivier may investigate in good faith but has no obligation to provide a fix, workaround, or timeline unless a separate written agreement says so.
5.3 Your content in transit and access
Content that Kailos syncs travels over encrypted connections (HTTPS). Knivier moderators and administrators shall not view, nor attempt to view, the content of your lists and tasks unless a legally defined search warrant or comparable compulsory legal process has been issued. Direct all such legal process to legal@knivier.com.
This promise does not prohibit automated processing needed to operate and protect the Service (for example encrypted transport, storage, routing, and non-content diagnostics), does not apply to information you send us yourself (such as a bug report), and does not require Knivier to resist valid legal process. Knivier may disclose information when required by law.
5.4 General enquiries and support
For general enquiries, contact enquiry@knivier.com. For support and for account or data deletion requests, contact help@knivier.com.
6. Your account, sign-in and Content
Kailos asks you to sign in with Google or Apple. You are responsible for the security of that account, for all activity under your Kailos account, and for keeping your devices, email and recovery methods secure. Knivier is not responsible for unauthorized access that results from weak, reused, shared, or disclosed credentials, or from your failure to secure devices, email, or recovery methods under your control. If you believe your account is compromised, secure your Google or Apple account and contact help@knivier.com.
You own your Content. You grant Knivier a limited, worldwide, non-exclusive license to host, store, transmit, and display your Content solely to operate the Services for you, for example to sync it between your devices. You represent that you have the rights needed to store that Content and that it does not infringe others' rights or violate law. Knivier may suspend accounts that appear to violate these Terms and has no duty to pre-screen Content.
Your tasks are kept on your own device first. You should maintain your own backups: Kailos can export a full backup and keeps recent local snapshots, but Knivier is not a backup service and is not responsible for lost, corrupted, or irretrievable data.
Deleting your data. You can delete your account and everything synced to it from Settings, then Manage account, then Delete account. You can also email help@knivier.com. Deleting the account does not by itself erase the copy of your tasks on your own devices. How data is handled is described in the privacy policy.
7. Beta and pre-release software
Beta, preview, test and pre-release builds (including builds distributed through TestFlight or the beta program) may be unstable, incomplete, or inaccurate, may lose data, and may change or end at any time. You use them at your sole risk, and should not rely on them for anything you cannot afford to lose. Please report problems to bugs@knivier.com.
8. Updates and support
The Software may check for and offer updates, and app stores may update it for you. Unless a separate paid or written support agreement exists, Knivier has no obligation to provide support, updates, security patches, new features, or continued availability. Software and Services may be changed, withdrawn, discontinued, or left unmaintained at any time.
9. Acceptable use
You shall not, and shall not attempt to:
- use the Software or Services for any unlawful purpose, or to harm persons, property, or systems;
- interfere with, overload, or disrupt Knivier or third-party infrastructure, including the sync service;
- introduce malware, or use the Software to develop or distribute malware, except legitimate defensive security research on systems you own or are authorized to test, and never against Knivier Services without prior written permission;
- access another person's account or data, misrepresent your identity, scrape in an abusive manner, or bypass rate limits or access controls;
- use the Software to obtain unfair privileges for yourself or others;
- use the Software or Services in any high-risk environment where failure could cause death, personal injury, or severe environmental or physical damage (including medical, aviation, nuclear, or emergency-control systems). Kailos is not designed for such use.
10. Intellectual property and feedback
Except for the license in Section 4.1, Knivier and its licensors retain all right, title, and interest in the Software, Services, names, logos, and documentation. No implied licenses are granted.
Feedback you send (including bug reports) may be used by Knivier without restriction or compensation. You assign to Knivier any intellectual-property rights in such feedback to the extent permitted by law; if assignment is not permitted, you grant Knivier a perpetual, irrevocable, royalty-free license to use it. Alleged infringement notices may be sent to legal@knivier.com.
11. Privacy
The Kailos privacy policy explains what is collected, how it is used, who it is shared with, how it is protected and how to delete it. It is part of this agreement.
12. Third-party components and open-source licenses
Kailos includes third-party components, including open-source libraries such as Qt (through PySide6), Python, Flutter and Rust crates, and uses third-party services such as Google and Apple sign-in and a hosted database provider. Those items are governed by their own licenses and terms. Nothing in these Terms limits any right you have under an open-source license of an included component, and where such a license conflicts with these Terms, that license controls for that component. Knivier is not responsible for third-party content, availability, security, or licenses, and makes no warranty regarding them.
13. Store and platform terms
13.1 Apple App Store (iPhone)
If you get Kailos from the Apple App Store, you and Knivier acknowledge that:
- These Terms are between you and Knivier only, not Apple. Knivier, not Apple, is solely responsible for the app and its content.
- The license is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple's Media Services Terms.
- Knivier, not Apple, is responsible for maintenance and support. Apple has no obligation to provide any.
- If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price if there is one. To the maximum extent permitted by law, Apple has no other warranty obligation, and Knivier is responsible for any other claim, loss, liability, damage, cost or expense attributable to a failure to conform to a warranty.
- Knivier, not Apple, is responsible for addressing claims relating to the app or your use of it, including product liability, legal or regulatory compliance, and consumer protection claims.
- If a third party claims the app infringes its intellectual property, Knivier, not Apple, is responsible for the investigation, defense, settlement and discharge of that claim.
- You represent that you are not located in a country subject to a United States government embargo or designated as a terrorist-supporting country, and that you are not on any United States government list of prohibited or restricted parties.
- You must comply with applicable third-party terms when using the app, such as your wireless data service agreement.
- Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept them, Apple has the right to enforce them against you as a third-party beneficiary.
- Questions, complaints and claims about the app can be sent to help@knivier.com.
13.2 Microsoft Store (Windows)
If you get Kailos from the Microsoft Store, these Terms are the license terms for the app. Microsoft is not a party to them, is not responsible for the app or its support, and delivers updates through the Store.
13.3 Direct downloads and other stores
If you download Kailos directly from Knivier, or from another store, these Terms apply, and that store is not a party to them.
14. Disclaimers of warranties
To the maximum extent permitted by law, Knivier disclaims all warranties, express or implied, including those listed in Section 4.3. Documentation, marketing pages, version notes, and oral or written statements are informational only and do not create warranties.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, disclaimers apply to the fullest extent permitted, and any non-excludable warranty is limited in duration to the shorter of thirty (30) days or the minimum period required by law.
15. Limitation of liability
To the maximum extent permitted by law, Knivier, and its officers, contractors, and licensors, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, even if advised of the possibility of such damages.
Knivier's total liability for all claims arising out of or relating to the Software, Services, or these Terms shall not exceed the greater of (a) the amounts you paid to Knivier, if any, for the Software or Service giving rise to the claim during the twelve (12) months before the claim, or (b) zero U.S. dollars (US$0.00). Because Kailos is provided at no charge, Knivier's maximum liability is US$0.00.
These limits apply to all theories of liability (contract, tort, negligence, strict liability, statute, or otherwise) and are an essential basis of the bargain. Knivier would not provide free Software and Services without them. They apply even if a remedy fails of its essential purpose.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by Knivier's proven negligence where such exclusion is forbidden.
16. Indemnification
You will defend, indemnify, and hold harmless Knivier and its officers, contractors, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software or Services; (b) your Content; (c) your violation of these Terms or law; (d) your infringement of a third party's rights; or (e) any jailbreak, exploit, unauthorized access, or unfair-privilege activity you perform or enable. To the extent you are a consumer whose local law does not allow this, it applies only as far as the law permits.
17. Termination
You may stop using the Software and Services at any time, and you can delete your account in Settings. Knivier may suspend or terminate your access, account, or license immediately if you breach these Terms, if required by law, or if continued operation is impracticable. When the license ends you must stop using the Software and delete its copies.
Rights you hold under an open-source license of an included component survive according to that license. Sections that by their nature should survive (including 4.2, 4.3, 5, 6, 9 to 12, and 14 to 20) survive termination.
18. Changes to these Terms
Knivier may update these Terms from time to time. The “Last updated” date will change when we do. Continued use after an update constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Software and Services. For material changes, Knivier will try to give additional notice in the app or by email where reasonably practicable.
19. Governing law, venue and disputes
These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules, except that the license of an open-source component is governed by its own choice-of-law clause if it has one.
Before filing a claim, you agree to try to resolve the dispute informally by emailing enquiry@knivier.com (or legal@knivier.com for legal process) and allowing thirty (30) days for a response.
Subject to any non-waivable consumer rights, exclusive venue for disputes arising out of these Terms or the Software or Services lies in the state courts of Washtenaw County, Michigan, or the United States District Court for the Eastern District of Michigan, and you consent to personal jurisdiction there.
To the extent permitted by law, you may bring claims only in your individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
20. General provisions
- Entire agreement. These Terms, the SSP, and the privacy policy are the entire agreement between you and Knivier regarding the Software and Services, and supersede prior oral or written terms on the same subject, including earlier versions of the Knivier terms as they applied to Kailos, except a signed writing that expressly says otherwise.
- Severability. If a provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver. Waivers must be in writing.
- Assignment. You may not assign these Terms without Knivier's prior written consent. Knivier may assign them in connection with a reorganization, transfer of assets, or operation of law.
- Force majeure. Knivier is not liable for delay or failure caused by events beyond reasonable control, including outages, internet failures, labor disputes, natural disasters, war, terrorism, epidemics, or government action.
- Export and sanctions. You shall not use or export the Software in violation of United States export-control or sanctions laws, or the laws of your jurisdiction.
- No professional advice. The Software, documentation, and websites are not legal, medical, financial, or other professional advice.
- Relationship. These Terms do not create a partnership, employment, or agency relationship.
- Headings, language and interpretation. Headings are for convenience only. The controlling language is English. “Including” means “including without limitation.”
